Terms of Service

1. Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of the Seller Progression Workflow™ website, framework, materials, and any related services (collectively, the "Services"). Seller Progression Workflow™ is the intellectual property of Greg Dombrowski ("Licensor" and "Owner"). G&T Strategic Operations and Management, LLC ("Company," "we," "us," or "our") is the current operating and payment-processing entity for the Services. Payment processing does not transfer or establish ownership of the intellectual property. By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
These Terms are a concise public summary. The comprehensive License Agreement, Terms of Use, Intellectual Property Notice, Disclaimer & Use Notice, and Refund Policy provided inside the licensed package are the authoritative legal documents and control in the event of any conflict.
2. Eligibility
You must be at least 18 years old and capable of entering into a binding contract to use the Services. By using the Services, you represent that you meet these requirements and that any information you provide is accurate and current.
3. Accounts and Access
Certain features require an account. You are responsible for safeguarding your credentials and for all activity that occurs under your account. Notify us promptly at support@sellerprogressionworkflow.com if you suspect unauthorized access. We may suspend or terminate accounts that violate these Terms.
4. Licenses and Pilot Program
All Founding License tiers — Founding Professional (one authorized named professional), Founding Small Team (up to three authorized named professionals), Founding Firm (up to ten authorized named professionals), Founding Office (up to twenty-five authorized named professionals), and Founding Enterprise (up to fifty authorized named professionals) — and the Pilot Program grant a limited, non-exclusive, non-transferable, revocable right to access the Services and materials for the authorized named professionals within the purchasing organization for the annual term. Each license is delivered through one primary purchaser account that receives dashboard access; the applicable License Agreement governs the permitted internal use of the licensed SPW materials by the authorized number of named professionals. All tiers grant identical framework rights and identical use rights; tier selection determines only the number of authorized named professionals. Higher tiers do not include additional framework functionality, software features, educational content, consulting, coaching, implementation services, communities, or learning-management features. Resale, sublicensing, or redistribution is prohibited unless expressly authorized in writing.
5. Billing and Refunds
All current license tiers operate on an annual term and renew automatically at the end of each term until cancelled. Cancellation of a future renewal takes effect at the end of the then-current paid period. Refund eligibility is limited and governed by the SPW Refund Policy provided inside the licensed package; refunds may be considered only if requested within seven (7) calendar days of purchase and only under the limited circumstances described in that policy. Pricing for future terms may change with reasonable notice.
6. Intellectual Property
Seller Progression Workflow™ and all underlying frameworks, methodologies, trademarks (including "Seller Progression Workflow™," "Infrastructure Before Expertise™," "The Stage Nobody Owns™," "Seller Readiness Workflow™," "Owner Readiness Snapshot™," "Seller Walkthrough™," and related marks), copy, designs, and software are the proprietary intellectual property of Greg Dombrowski. The Company is the current operating and payment-processing entity and does not hold ownership of the intellectual property. No rights are granted to you except as expressly stated in these Terms and the comprehensive License Agreement.
7. Acceptable Use
You agree not to:
- copy, scrape, mirror, or redistribute the Services or materials;
- reverse engineer or attempt to extract source code;
- use the Services to develop a competing product or framework;
- upload unlawful, infringing, or harmful content; or
- interfere with the security or integrity of the Services.
8. Testimonials and Results Disclaimer
Any statements regarding outcomes, results, or financial performance reflect the experience of specific individuals and are not guarantees. Results depend on many factors outside our control, including your market, effort, and execution.
9. Third-Party Services
The Services may integrate with third parties (for example, payment processing, authentication, email delivery, and analytics). Your use of those services is governed by their own terms and privacy policies, and we are not responsible for their conduct.
10. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
11. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, THE COMPANY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
12. Indemnification
You agree to defend, indemnify, and hold harmless the Company and its officers, employees, and affiliates from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your use of the Services or violation of these Terms.
13. Termination
We may suspend or terminate your access at any time for any breach of these Terms. Upon termination, your right to use the Services ceases immediately. Sections that by their nature should survive (including IP, disclaimers, limitations, and governing law) will survive termination.
14. Governing Law and Disputes
These Terms are governed by the laws of the State of Florida, USA, without regard to conflict-of-law principles. The exclusive venue for any dispute will be the state or federal courts located in Florida, and you consent to personal jurisdiction there.
15. Changes to These Terms
We may update these Terms from time to time. Material changes will be indicated by updating the "Effective" date above. Your continued use of the Services after a change constitutes acceptance of the revised Terms.
